Terms of Service

1. About these terms

These Terms of Service ("Terms") govern your access to and use of the Shop263 platform — including the marketplace, seller storefronts, seller dashboard, mini point-of-sale (POS) tools, and related services (together, the "Service"). The Service is operated by Fignoc Technologies ("Shop263", "we", "us") from Harare, Zimbabwe.

By creating an account, opening a shop, or buying from a shop, you agree to these Terms. If you do not agree, do not use the Service.

2. Who can use Shop263

• You must be at least 18 years old and able to enter into a binding contract.
• Sellers must be a genuine business or individual trader operating lawfully in Zimbabwe.
• You must provide accurate registration details and keep them up to date.

3. Your account

You are responsible for keeping your login details secure and for all activity under your account, including any staff accounts you create in your dashboard. Notify us immediately if you suspect unauthorised access. We may suspend or close accounts that breach these Terms or our Acceptable Use Policy.

4. The role of Shop263

Shop263 is a technology platform that lets sellers create online shops, appear in a shared marketplace, and sell in person via POS. Shop263 is not the seller, the buyer, or a party to any sale. Each sale is a direct contract between the buyer and the seller. We do not take ownership of goods and we do not hold buyer funds for orders.

5. Sellers

As a seller you are an independent business and you are solely responsible for:

• Your products, prices, descriptions, images, stock and availability;
• Fulfilment, delivery, pickup, packaging and customer service;
• Your own returns, refunds and warranty handling (see Refunds & Returns);
• All applicable taxes, licences and compliance with Zimbabwean law.

Every shop is reviewed before going live. We may moderate, hide or remove listings, or suspend shops, that breach our policies or the law.

6. Marketplace listing fees

Your own storefront and your own sales are free — we do not charge commission on your sales. Listing a product on the shared marketplace requires a prepaid listing fee per product, charged from your Shop263 wallet when the listing is approved and renewed every 30 days. If your wallet cannot cover a renewal, that product is removed from the marketplace until you top up. Fees are shown before you confirm and are non-refundable once a listing period has started, except where required by law.

7. Payments between buyers and sellers

Buyers pay sellers directly using the methods each seller enables — for example EcoCash, OneMoney, InnBucks, ZIPIT/bank transfer, Paynow, cash on delivery or cash on pickup. Shop263 does not process or hold these order payments and is not responsible for them. Any payment dispute is between the buyer and the seller, though you may report problems to us.

8. Wallet & subscriptions

Seller wallet top-ups and any subscription or plan fees are payable to Shop263 and are used for platform services such as marketplace listings. Wallet balances are not a bank deposit, earn no interest, and are non-transferable. We will give reasonable notice of price changes.

9. Buyers

When you place an order you enter into a contract with the seller, not with Shop263. Review each shop's delivery, pickup, returns and refund information before ordering. You agree to provide accurate delivery details. If something goes wrong, contact the seller first; you can also report the shop to our team.

10. Acceptable use

You must not use the Service to sell prohibited or illegal goods, infringe others' rights, post false or misleading content, harass others, or attempt to disrupt or gain unauthorised access to the platform. See the full Acceptable Use Policy. Breaches may result in content removal, suspension or permanent closure of your account.

11. Reviews & content

Reviews must reflect genuine experiences. We may remove reviews or content that is fake, abusive, off-topic or unlawful. You retain ownership of content you upload but grant Shop263 a non-exclusive, royalty-free licence to host, display and promote it for the purpose of operating the Service.

12. Intellectual property

Shop263, the Shop263 name, logo and platform are owned by Fignoc Technologies. You may not copy, resell or reverse-engineer the platform. Your brand and content remain yours.

13. Suspension & termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees due, or where required to protect users or comply with the law. On termination, certain records may be retained as described in our Privacy Policy.

14. Disclaimers

The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted access, and we are not responsible for the quality, safety or legality of items sold by sellers, or for the conduct of any buyer or seller.

15. Limitation of liability

To the maximum extent permitted by Zimbabwean law, Shop263 is not liable for disputes between buyers and sellers, loss of profits, loss of data, or indirect or consequential damages arising from use of the Service. Nothing in these Terms excludes liability that cannot be excluded by law.

16. Indemnity

You agree to indemnify Shop263 against claims, losses and costs arising from your breach of these Terms, your content, or your products and sales.

17. Governing law

These Terms are governed by the laws of Zimbabwe, and the courts of Zimbabwe have jurisdiction over any dispute, without prejudice to any mandatory consumer rights you may have.

18. Changes to these terms

We may update these Terms from time to time. We will post the updated version here with a new "last updated" date and, for material changes, give reasonable notice. Continued use of the Service after changes take effect means you accept the updated Terms.
